Eligibility:
The IPLogic Unplug and Win Contest 2008 ("Contest") is open only to legitimate and lawful organizations located in the Pittsburg area with area codes of 412 and 724, with thirty (30) or more full-time and/or part-time employees (which shall include overall employees of a parent, affiliate, and/or subsidiary or related company, entity, association, franchisor, or franchisee located within the specified GEOGRAPHY ("Entrants" or "Organization"). Void where prohibited by law. IPLogic, Inc. and Cisco Systems, Inc., and their affiliates, parents, subsidiaries, and their respective employees, officers, directors, shareholders, representatives, agents, and family members of those employees (spouse, domestic partner, mother, father, grandmother, grandfather, children, siblings and their spouses) and individuals living in the same household of those employees, whether related or not, are not eligible to participate. Persons making the Entry must have reached the legal age of majority in their state/territory/province of residence, be an employee of the Organization and enter with its permission and on its behalf. Subject to all applicable federal, state, provincial and local laws and regulations. All Entrants, including without limitation federal, state, provincial and local government organizations, are responsible for compliance with any contractual limitations and/or office policies, if any, regarding participation or prize acceptance in a Promotion or Contest. IMPORTANT NOTICE: Entrant has the responsibility to review and understand their employer's policies regarding Entrants' eligibility to participate in promotions. If an individual is participating in violation of their employer's policies, that individual and its employer may be disqualified from this Contest, or from receiving prizes. IPLogic and Cisco disclaims any and all liability or responsibility for disputes arising between an Entrant and their employer related to this matter.

Sponsors:
The Contest is sponsored by IPLogic, located at 17 British American Blvd., Latham, NY 12110, and Cisco Systems, Inc. ("Sponsors"), located at 170 West Tasman Drive, San Jose, CA 95134.

Agreement to Official Rules: Participation in the Contest constitutes Entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor and Judge which are final and binding in all respects. |

Contest Period:
Contest begins on or about 9:00:00 am Eastern time (EST) on May 20, 2008 and ends at 11:59:59 pm EST on June 30, 2008 ("Contest Period"). All Entries (defined below) must be received by June 30, 2008. Potential winners will be notified on or about July 15, 2008 by telephone or e-mail (at Sponsor's discretion) using the contact information provided on Entrant's IPLogic Unplug and Win Contest 2008 Official Entry Form.

Registration & Entry:
To register, during the Contest Period visit http://iplogic.unplugandwin.com, provide the following information: Entrant/Organization name and address, and name, title, business telephone number and email of person making the entry on behalf of Entrant and provide answers to questions pertaining to Participant's business operations. Participants may enter by writing and submitting an original response explaining how wireless capability would help Participant reach a business goal in an area set forth below. Entrants must complete all required information and acknowledge their acceptance of these Official Rules, then click on the "Submit" button; once submitted, entries may not be modified deleted or cancelled. Limit one (1) entry per organization. If Sponsor receives multiple entries from the same Entrant, all but the first entry shall be disqualified.
In the event of a dispute as to any Entry, the authorized account holder of the email address used to enter will be deemed to be the person who made the Entry on behalf of the Organization by whom they are employed. The authorized "account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.
Sponsor assumes no responsibility for lost, stolen, late, incomplete, invalid, illegible or misdirected submissions or claims; for failed, partial or garbled computer transmissions; or for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware, or software or electronic or human error which may occur in the transmission of any information related to this Contest or in the processing of Entries.

Judging Criteria and Scoring Percentages:
Entrants will be judged and potential winners selected by a qualified and knowledgeable panel of judges based on a composite score using the following criteria ("Judging Criteria"): Creative, Resourceful, and Practical ways in which wireless networking technologies would improve the Participant's:
- Operations and Productivity: Propose compelling ways a wireless network deployment would allow Participant to increase employee efficiency and productivity, reduce costs, and improve overall product or service quality.(30%)
- Sales and Marketing: : Support the compelling ways a wireless network deployment would allow Participant to better position, promote, and sell their product or service through advertising, marketing, and sales efforts. (30%)
- Impact to the Community:
Propose meaningful ways a wireless network would allow Participant to increase employment, expand offerings, or make a business impact to the community. (40%)
- ANY ADDITIONAL CATEGORIES
The Entrant with the highest score will be declared the potential grand prize winner. In the event of a tie, the Entrant (among those ties) with the highest score in the Impact to the Community Category will be deemed the potential winner for the applicable prize within the Category. Entrants must provide an appropriate response to each question in the entry form. All decisions by the Judges are final. Potential winners must comply with all terms and conditions of these Official Rules; winning is contingent upon fulfilling all requirements. Except where prohibited by law, potential winners must execute, sign and return a Declaration of Eligibility/Publicity and Liability Release within ten (10) business days of receipt. If a potential winner cannot be contacted within ten (10) business days after the first attempt to do so or fails to return the Affidavit of Eligibility/ Publicity and Liability Release within the specified period, or for any other non-compliance, the potential winner may be disqualified and an alternate potential winner may be selected based on the Judging Criteria.

Prizes:
Assuming sufficient eligible entries are received and subject to these Official Rules, one (1) grand-prize will be awarded, as provided herein, to an eligible winner:
Grand Prize (1):
Up to $35,000 worth of networking equipment and related services including a Cisco Unified Wireless Network consisting of a Cisco 4400 Series Wireless LAN controller, Cisco Wireless Control System Base network management software, up to 10 Cisco 802.11ag Lightweight Access Points with Integrated Antennas, and SMARTnet services. IPLogic-provided services include a site survey, installation of award products, and 8am to 5pm Monday-Friday standard warranty support services for one year after date of installation. This includes phone support and return to factory warranty and all updates of code for that 1 year period. Cisco Wireless LAN Controllers provide system wide wireless LAN functions, such as security policies, intrusion prevention, RF management, quality of service (QoS), and mobility. They work in conjunction with Cisco 1000 Series Lightweight Access Points and the Cisco Wireless Control System (WCS) to support business-critical wireless applications. From voice and data services to location tracking, Cisco Wireless LAN Controllers provide the control, scalability, security, and reliability to build secure, business quality wireless networks. The total retail value of the prize, dependent upon size and requirements of winning entry has a maximum total retail value of $35,000. This prize does not include any goods or services not expressly mentioned in this summary. Note: Building construction, additional electrical or wiring, or any required building or construction permits are not included as part of the Prize.
Delivery of the Prize is subject to the following conditions: Prize is valid for delivery and installation in the geographic territory as described in the eligibility section and for up to ninety (90) days following award to the winner.
IMPORTANT NOTICE:
All Cisco Products must be ordered within the six (6) month period between July 15, 2008 and January 15, 2009 or that portion of the prize will be forfeited. Fulfillment of orders depends on product availability and may take two (2) months or longer from the order date. Cisco products do not include Linksys products or services, or Cisco services or support or installation which are at the sole cost, expense and responsibility of the winner. Cisco products may include, at Cisco's discretion, the products or services of any company acquired by Cisco. Limit one (1) prize per Organization. Employee of potential prize winners and their guests must have reached the legal age of majority in their state of residence prior to prize award. Cisco products received as a prize may not be resold, auctioned, bartered, assigned, exchanged, transferred or donated. No cash or other substitutions in whole or in part are permitted except at the discretion of Sponsor who reserves the right to substitute a prize of comparable or greater value if the prize is unavailable or cannot be awarded as described for any reason. Prizes must be accepted as awarded and are non-assignable and non-transferable in whole or in part. In Sponsor's discretion, unneeded, superfluous, unclaimed, unredeemed or late redeemed prizes, or any portion thereof, will be forfeited and not awarded. All sales taxes, and any other costs, fees and expenses, installation and service and support on a prize are the sole responsibility of winner. Any and all federal, state, provincial and local taxes, fees and surcharges on prizes are the sole responsibility of the winning organization. Prizes to any winner including those that are a federal, state, provincial or local government organization are subject to applicable ethics laws and regulations. Sponsors may in their sole discretion, and without obligation, provide prize winners a case study posted to IPLogic's or Cisco's public Web site, and/or the opportunity to participate in other public relations or marketing activities; and in such event, winners will be required to execute appropriate additional documentation. Sponsors shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of the prize becoming unavailable or impracticable to award, or for any force majeure event, technical or equipment failure, terrorist acts, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similar or dissimilar beyond Sponsors' control.

| 8. |
General Conditions:
IPLogic and Cisco have the right to investigate and verify Entrant eligibility and Entry information, including without limitation legitimacy of Entrant's business or operations, and compliance with these Official Rules, and to disqualify any Entrant on the basis of its findings. In addition and without limiting any other provision in these Official Rules, Sponsors reserve the right to disqualify any Entrant (or any of its officers, director or employees) that commits any act or does anything that is or shall be an offense involving moral turpitude under federal, state, or local laws, or which association with such Entity could bring Sponsors into public embarrassment, disrepute, contempt, scandal, or ridicule, or which association insults or offends the community or any substantial organized group thereof, or which might tend to injure the success of the Contest, IPLogic, Cisco, or any Cisco product. If, for any reason, the Contest is not capable of running as planned, including due to infection by computer virus, bugs, tampering, technical failures, human error or any other causes beyond the control of Sponsors that corrupt or affect the administration, security, fairness, or integrity of the Contest, Sponsors reserve the right in its sole discretion, to cancel, terminate, modify or suspend the Contest. In such event, Sponsor reserves the right, if feasible, to judge and award prizes as provided herein from among the eligible entries received up to the time of the impairment. Sponsor reserves the immediate right to disqualify any Entrant who, in Sponsor's sole discretion: (i) is not in compliance with these Official Rules, (ii) tampers with the entry process, the Contest, or the website; or (iii) is acting in an uncooperative, obstinate, unsportsmanlike, disruptive, abusive, or threatening manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.
By a submission of Entry, each Entrant grants to Sponsors (and agrees to confirm that grant in writing) and those acting pursuant to the authority of Sponsors, the right to print, publish, display, broadcast, and use, worldwide in any media now known or hereafter developed, including, but not limited to, the World Wide Web and the Internet, at any time(s), the Entrant's name, Entry Information, statements about the promotion, and the name, image, picture, voice, hometown, and likeness of the individual who entered on behalf of the Entrant as news, information and for Sponsor's trade, advertising and/or promotional purposes without additional compensation or review. In some cases, IPLogic or Cisco may in its discretion, but without obligation, choose to develop a promotional case study highlighting the Entrant and its use of technology. Sponsor's failure to enforce any provision of these Official Rules shall not constitute a waiver of any provision.

| 9. |
Sponsor Rights to Contest Entries:
By entering Entrant represents and warrants to Sponsors that its Entry and all information therein is accurate and truthful to the best of Entrant's knowledge, and further represents and warrants that the Entry does not contain any confidential or proprietary information of the submitting organization or any third party. Submission of Entry grants Sponsors and their agents the worldwide right in perpetuity to reproduce, publish, use, edit, adapt and/or modify such Entry, in any way, in any and all media, without limitation and without compensation to Entrant. Submission further constitutes Entrant's consent to assign and transfer irrevocably to Sponsors any and all rights, title and interest in and to the Entry and all information therein, including without limitation, all copyrights. By participating in the Contest, Entrant waives the benefit of any provision of law known as "moral rights" or "droit moral" or any similar or analogous law or decision in any country of the world.
Entrant hereby agrees not to instigate, support, maintain or authorize any action, claim or lawsuit against Sponsors or their affiliates, or any other person, on the grounds that any use of the Entry, or any derivative works infringe any of Entrant's or any third parties' rights. All elements of all Entries, including all United States and international copyrights and all other intellectual property rights in the Entries, shall be owned exclusively by Sponsors. Nothing herein shall constitute an employment, joint venture, or partnership relationship between Entrant and Sponsors. In no way is Entrant to be construed as the agent or to be acting as the agent of Sponsors in any respect.

| 10. |
Use of Personal Information:
Personal information (that which identifies the individual and is submitted in the Entry) will only be used to contact Entrants during the course of the Contest and/or in the event of potential prize award. However, if Entrant checks the Opt-In box on the Entry, the contact information provided may be used to contact Entrant in the future regarding Sponsor offers, promotions and advertising. The Entry, and other information, including but not limited to information collected in the aggregate such as titles and occupations of Entrants, information about participating organizations and industries, or other information needed to meet the obligations of the Contest may be stored and used by Sponsor in the future pursuant to and in accordance with its privacy policy.

| 11. |
Limitations of Liability & Release:
BY ENTERING OR ACCEPTING ANY PRIZE, EACH ENTRANT AND WINNER AGREES THAT SPONSOR, ITS SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTION AGENCIES, AGENTS AND CONTRACTORS AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE RELEASED AND HELD HARMLESS BY ENTRANT OR WINNER FOR ANY ALLEGED OR ACTUAL CLAIMS, LIABILITIES, OR CAUSES OF ACTION OF ANY KIND OR NATURE FOR ANY INJURY, LIABILITY, LOSS OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING WITHOUT LIMITATION DISABILITY OR DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, ARISING DIRECTLY OR INDIRECTLY NOW OR IN THE FUTURE, FROM USE OF THE ENTRY, THE ACCEPTANCE, DELIVERY, MIS-DELIVERY, INSTALLATION, SET-UP, POSSESSION, USE OR MISUSE OF THE PRIZE, PARTICIPATION IN THIS CONTEST, AND/OR PARTICIPATION IN ANY CONTEST OR PRIZE RELATED ACTIVITY.

Disputes:
Any dispute, controversy or claim arising out of or relating to this Contest or these Official Rules, or the breach thereof, shall be finally settled by arbitration located in San Jose, California and administered by the Commercial Arbitration and Mediation Center for the Americas in accordance with its rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
